WINDOWSsystem32rundll32.exe

Upon startup, a black box titled WINDOWS\system32\rundll32.exe opens on my desktop that includes many symbols (hearts, diamonds, horizonal lines, arrows). It also pops up when I try to view or change anything in the Control Panel and does not allow any changes. Is there a way to stop this so i can use the Control Panel? I am running Windows XP.
